We are urgently hiring Company Secretary/Company Secretary – IBC & CIRP Specialist having experience in Insolvency and Bankruptcy Code (IBC), 2016, and handling all aspects of the Corporate Insolvency Resolution Process (CIRP). for leading law firm at Nariman Point in Mumbai Company Description Leading Insolvency Professional & Stressed Asset Resolution Specialist in the Banking & Finance Domain, has handled/assisted in over 100 assignments in Corporate Insolvency Resolution Process and liquidation process for Corporate Debtors under the Insolvency and Bankruptcy Code, 2016. Company is specialized in handling complicated assignments with litigations involving ED, DRI, CBI, PMLA, EOW, SEBI and IT Departments. acted as Advisor for Committee of Creditors in Corporate Insolvency Resolution Process assignments, Advisor to Investors in CIRP Process Participation and is a Regular Speaker at IBBI Workshops. Role Description The Company Secretary will be responsible for ensuring corporate compliance with the Insolvency and Bankruptcy Code (IBC), 2016, and handling all aspects of the Corporate Insolvency Resolution Process (CIRP). The role involves close collaboration with legal advisors, insolvency professionals, and other stakeholders to manage insolvency proceedings, ensuring legal compliance, and safeguarding the company’s interests. Key Responsibilities: IBC Compliance: Ensure full compliance with the provisions of the Insolvency and Bankruptcy Code, 2016, including timely filings and reports to the Insolvency and Bankruptcy Board of India (IBBI), National Company Law Tribunal (NCLT), and other regulatory authorities. Liaise with regulatory bodies and external stakeholders to address compliance requirements during insolvency and resolution processes. Corporate Insolvency Resolution Process (CIRP) Management: Oversee the CIRP in collaboration with appointed Insolvency Resolution Professionals (IRPs) or Resolution Professionals (RPs). Manage creditor meetings and communications, including coordinating with the Committee of Creditors (CoC) and preparing the necessary reports. Ensure proper documentation and communication among all parties involved, such as creditors, shareholders, employees, and other stakeholders. Resolution Plan Scrutiny: Assist in the preparation, review, and submission of resolution plans. Ensure that the resolution plans comply with IBC requirements and align with the interests of the company and creditors. Act as a liaison between legal teams, financial consultants, and the CoC in the negotiation and finalization of resolution plans. Legal & Regulatory Support: Collaborate with legal advisors for drafting petitions, appeals, and defenses for submissions to the NCLT and other legal authorities. Assist in the preparation and submission of the Information Memorandum to all relevant stakeholders during the insolvency process. Ensure that all proceedings are in accordance with legal and regulatory frameworks, and assist in representing the company in NCLT hearings when necessary. Governance and Record Keeping: Maintain proper records of the CIRP, including minutes of creditor meetings, legal filings, and reports to the CoC and regulators. Ensure that the company continues to comply with all relevant laws, regulations, and corporate governance practices during the insolvency process. Coordination with Insolvency Professionals: Facilitate smooth interactions between the company, creditors, and appointed professionals (IRPs, RPs, and valuers). Ensure timely and accurate submission of all necessary documentation, including financial statements, company records, and creditor claims. Corporate Secretarial Duties: Support routine corporate secretarial functions including filing of annual returns, maintaining statutory registers, and ensuring compliance with applicable company laws, even during insolvency proceedings. Key Skills & Competencies: In-depth Knowledge of IBC: Extensive experience in the IBC, 2016, and its application in insolvency cases. CIRP Expertise: Proven track record of managing Corporate Insolvency Resolution Processes from initiation to closure. Legal Acumen: Strong understanding of corporate and insolvency laws, and familiarity with NCLT processes. Stakeholder Management: Excellent communication skills and ability to coordinate with various stakeholders including creditors, lawyers, and regulators. Attention to Detail: High level of accuracy and diligence in preparing legal documents, reports, and filings. Problem-Solving Skills: Ability to navigate complex legal and financial situations in insolvency matters. Qualifications & Experience: Educational Qualification: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI). Minimum of 1years years of experience with a focus on Insolvency & Bankruptcy Code (IBC) matters. Experience in managing the Corporate Insolvency Resolution Process (CIRP) is a must.
